These Terms and Conditions

1.1 These Terms and Conditions govern the services we provide to you, whether you are a Gift Ripple Collection creator or contributor. Please read these Terms and Conditions carefully to ensure that you understand and agree to them before proceeding to use our Platform. By proceeding to use our Platform, creating or contributing to a Gift Ripple Collection you are agreeing to be bound by these Terms and Conditions.

1.2 We may amend these Terms and Conditions from time to time. Please see the end of these Terms and Conditions for details of the current version and when it was last updated. For previous versions and the dates they applied please get in touch with us as set out below.

1.3 In these Terms and Conditions:

• ‘Contributions’ refer to any content posted or submitted by users of our Platform including, amongst other things messages, comments, suggestions, emails, links, photographs as well as monetary contributions;
• ‘Gift Ripple Collection’ refers to a collection for one or more gifts for a single recipient. Gift Ripple account holders may set up multiple Gift Ripple Collections for different recipients and/or for different special occasions within their Gift Ripple account;
• ‘Platform’ refers to the Gift Ripple web app, whether accessed by a computer, tablet or mobile phone.

How it works – creating and contributing to a Gift Ripple Collection

3.1 Gift Ripple allows family and friends to contribute together towards something meaningful (such as a hobby, experience or special item) instead of buying multiple individual gifts.

Gift Ripple Collection creators

3.2 Gift Ripple Collections can only be created by a parent or guardian of the gift recipient and whose home address is within the United Kingdom. As a Gift Ripple Collection creator you confirm that you are the parent or legal guardian of the gift recipient, or that you have the authority of the parent or legal guardian to create the Gift Ripple Collection on their behalf, and that you reside in the United Kingdom. You are solely responsible for ensuring that the gift recipient receives all monetary Contributions made to their Gift Ripple Collection as soon as reasonably practicable after the closing date. If you are under 18 years old please obtain the permission of an appropriate parent or guardian as above before using our Platform.

3.3 To set up a Gift Ripple account you must register for an account on our Platform, add a profile of the gift recipient and create one or more Gift Ripple Collections for that recipient from the categories provided. You may also create Gift Ripple Collections for multiple recipients. Each Gift Ripple Collection must contain a closing date when all Contributions must have been made to it so that the Contributions can then be shared with the gift recipient. The maximum number of days that each Gift Ripple Collection can remain open and shareable is 60 days, Gift Ripple Collections can be set up in advance but will not be activated until 60 days before the elected closing date. The closing date can be amended to a date within the maximum 60 day window. Each Gift Ripple Collection will automatically close to any new Contributions at 23:59 on the closing date elected by the Gift Ripple Collection creator. Each Gift Ripple Collection may contain a target amount, however the Gift Ripple Collection will not automatically close once the target amount is reached, it will only close on the closing date set by the Gift Ripple Collection creator. The Gift Ripple Collection creator will receive all Contributions made to the Gift Ripple Collection regardless of whether the target is reached or not.

3.4 Gift Ripple Collection creators must provide details of a bank account in their name which is registered in the United Kingdom and in which all monetary Contributions made to the Gift Ripple Collection may be paid into once the Gift Ripple Collection has closed. It is the Gift Ripple Collection creator’s sole responsibility to ensure the accuracy of the information provided when setting up their account and all Gift Ripple Collections within it, and for withdrawing the monetary Contributions. Please note, particularly when deciding on the closing date for each Gift Ripple Collection, that it may take up to twelve days in total for Contributions to be received as cleared funds into the elected bank account (shown as ‘Stripe Payments UK’) after the closing date for that Gift Ripple Collection.

3.5 Once a Gift Ripple Collection has been created, the creator will be given a unique link to share the details of that Gift Ripple Collection to friends and family who may wish to contribute to it. This link must only be shared with people whom the creator wishes to contribute to the Gift Ripple Collection.

3.6 As a Gift Ripple Collection creator you are responsible for maintaining the confidentiality of your password for your Gift Ripple account. Please do not disclose your password to anyone. If you believe your password or account has been compromised you must let us know immediately.

3.7 Each Gift Ripple Collection may only be used once, and once the closing date has passed and the Gift Ripple Collection is closed it cannot be reopened or used again. However, Gift Ripple Collection creators will have access to view or download all messages and photographs in each Gift Ripple Collection for 6 months after the closing date, after this time the Gift Ripple Collection will automatically be deleted from the creator’s account.

3.8 We use Stripe Payments Europe Limited and its affiliates (“Stripe”) to securely process, manage and release all monetary Contributions made to each Gift Ripple Collection through Stripe Connect. Gift Ripple Collection creators are required to complete Stripe’s identity verification and verification processes before completing the setup of their first Gift Ripple Collection. This process does not need to be repeated for any further Gift Ripple Collections created within that account. Gift Ripple does not itself receive or hold any monetary Contributions at any time. Payment processing services are provided by Stripe and are subject to Stripe’s applicable terms and conditions. Whilst Gift Ripple is not responsible for the operation of Stripe’s payment systems or for any delays or failures solely attributable to Stripe, we will use reasonable endeavours to assist users in resolving payment-related queries where we reasonably can.

3.9 Once each Gift Ripple Collection has closed, the Gift Ripple Collection creator will receive a notification by email confirming when the monetary Contributions are ready to be withdrawn. To withdraw monetary Contributions to their nominated bank account, the Gift Ripple Collection creator must click on the “withdraw” button relating to that Gift Ripple Collection within their Gift Ripple account. Please note the timescales in clause 3.4 for monetary Contributions to be received as cleared funds in the nominated account.

3.10 Gift Ripple takes no responsibility for ensuring that Contributions are used for the purposes elected on the corresponding Gift Ripple Collection, as this is the sole responsibility of the Gift Ripple Collection creator.

3.11 Gift Ripple Collection creators have an option to send thank you messages to contributors if they wish. These can be individual messages to each contributor or a single message to all contributors, either with or without photographs.

3.12 Gift Ripple may display products or services offered by carefully selected third party partners based on information provided by the Gift Ripple Collection creator, including their postcode. Any purchase of products or services from a third party partner is a contract solely between you and that third party. Gift Ripple is not responsible for the availability, pricing, quality or fulfilment of any third party product or service.

Gift Ripple Collection contributors

3.13 It is the responsibility of the Gift Ripple Collection creator to share the unique link to the Gift Ripple Collection with only the people whom they wish to contribute towards the Gift Ripple Collection. The unique link or any other details of the Gift Ripple Collection must not be reshared with any other person without the express authorisation of the Gift Ripple Collection creator.

3.14 To contribute to a Gift Ripple Collection you do not need to create an account with Gift Ripple, you can click on the link provided by the Gift Ripple Collection creator and follow the steps provided to make a Contribution. Monetary Contributions may (but do not have to) be accompanied by a message and/or photographs. Contributions must be made to a Gift Ripple Collection before its closing date. After its closing date the Gift Ripple Collection will not be able to accept any more Contributions.

3.15 Gift Ripple Collection creators are able to see all individual Contributions (including amounts and any accompanying messages and/or photographs) made to the Gift Ripple Collection but contributors can only see their own Contributions. Contributors may make more than one Contribution to the same Gift Ripple Collection at any time before the Gift Ripple Collection closes.

3.16 Each monetary Contribution to a Gift Ripple Collection must be a minimum of £1.00GBP.

3.17 When making each monetary Contribution, Gift Ripple will charge an administration fee as set out in the table below in addition to the monetary Contribution, which will be displayed separately during the checkout process. This fee includes Stripe transaction costs. The full amount of all monetary Contributions made by each contributor will be allocated to the Gift Ripple Collection, i.e. if contributing £10.00GBP to a Gift Ripple Collection then the contributor will pay a total of £11.00GBP and the Gift Ripple Collection creator will receive £10.00GBP for the recipient. No fee will be charged by Gift Ripple or by Stripe to Gift Ripple Collection creators for creating a Gift Ripple Collection.

4. Contributions rules

4.1 Please remember that all Contributions express the views of the author of the Contribution, not the views of Gift Ripple. We do not monitor and are not responsible for Contributions posted to or sent from our Platform.

4.2 You must not upload, link or post to our Platform any content of any kind belonging to a third party without their explicit consent to do so. Unless you have our written consent to do so, you must not use any of our Platform, including individual Gift Ripple Collections, to advertise any business or commercial product or service. If any Gift Ripple Collection contains any third party links then Gift Ripple is not responsible for those links nor their content. The inclusion of such links in a Gift Ripple Collection does not imply any indorsement of the material on the website or affiliation with its owner. Any access or use of any third party links is done entirely at your own risk.

4.3 You must not upload or in any other way display or link to any indecent, imoral or illegal images or any other content on any part of the Gift Ripple Platform which is knowingly false, misleading, defamatory, abusive, vulgar, discriminatory, threatening, invasive of someone’s privacy or which we consider, at our sole discretion, capable of bringing Gift Ripple into disrepute. You fully indemnify Gift Ripple for all claims and expenses relating to such behaviour to the fullest extent of the law.

4.4 You must not disclose private or personal matters concerning any person or post any photographs or videos of any person without their (or, in the case of minors, their parent or guardian’s) explicit consent.

4.5 You must not post or submit or otherwise introduce to the Gift Ripple Platform anything which contains viruses, malware or any functionality which solicits personal data of individuals. By using the Gift Ripple Platform you must not impersonate any person or otherwise misrepresent your affiliation with any Gift Ripple Collection creator, contributor or recipient.

4.6 Contributions are intended to be final gifts and contributors should ensure they are happy with the amount before confirming payment. Refunds will only be made where required by law, where expressly stated in these Terms and Conditions or the relevant terms and conditions between you and Stripe, or where Gift Ripple determines in its absolute discretion that a refund is appropriate.

4.7 We reserve the right at any time to suspend, remove or refuse any Gift Ripple account or Gift Ripple Collection, or remove any Contribution, where we reasonably believe these Terms and Conditions have been breached, where required by law, where requested by Stripe, where we suspect fraud or other criminal activity or where we reasonably consider such action necessary to protect Gift Ripple or its users.

Intellectual Property

5.1 We own and shall retain all rights, title and interest in all intellectual property, whether registered or not, (including but not limited to all trade marks, logos, business names and other brand features, patents, copyright, database rights, design rights, domain names and business know-how) displayed on the Platform and any marketing or other materials relating to Gift Ripple, and all software, source code, object code, user interfaces, visual design, templates, underlying technology and any enhancements, modifications, new versions or derivative works thereof (“Intellectual Property Rights”).

5.2 Subject to your compliance at all times with these Terms and Conditions, we grant you a revocable, limited, non-exclusive, non-transferable right to use of our Intellectual Property Rights solely as set out in these Terms and Conditions.

5.3 Gift Ripple Collection creators may upload Contributions such as text, images or messages for their and the Gift Ripple Collection recipient’s personal use only. No other rights are granted.

5.4 You may not copy, reverse-engineer, de-compile, modify, resell, sub-licence, create derivative works from or otherwise exploit any part of the Contributions or the Platform except as expressly permitted by law and with our express written consent.

5.4 We may use any content added to the Platform by Gift Ripple Collection creators or contributors for any purpose including but not limited to improvement of our services and marketing materials.

Our responsibility to you

6.1 We do not exclude or limit in any way any liability to any person which cannot be excluded or limited by law.

6.2 Subject to clause 6.1, Gift Ripple shall not be liable for any indirect or consequential loss, loss of profit, loss of business, business interruption or loss of business opportunity arising out of these Terms and Conditions. Our total liability in respect of any losses arising out of a breach of these Terms and Conditions is, in respect of a Gift Ripple Collection creator, the total value of the Gift Ripple Collection at the time of it closing, and in respect of a Gift Ripple Collection contributor, the total value of contribution relating to the breach.

6.3 We will have no liability to any third party for any reason including but not limited to breach of rights, loss of profit, loss of business, business interruption or loss of business opportunity.

6.4 We are not responsible for any delays which are outside our control. In such circumstances we will use reasonable endeavours to contact you to let you know of the delays and any timescales known to us but we will not be liable for such delays.

7. Privacy

How we use any personal data you give us is set out in our Privacy Policy.

8. Our partners

From time to time we may feature offers provided by third party partners. These are subject to the partner’s own terms and conditions. Gift Ripple accepts no responsibility or liability for the availability or fulfilment or performance of any third party offer as it is a contract between you and the relevant third party partner to which Gift Ripple is not a party.

9. Termination

9.1 We may suspend or terminate your Gift Ripple account or remove any Gift Ripple Collection or Contribution immediately if we reasonably believe that:

• you have breached these Terms and Conditions;
• any information you have provided is false or misleading;
• your account or a Gift Ripple Collection is being used fraudulently or for any unlawful purpose;
• it is necessary to comply with any applicable law, court order or request from a regulatory authority or Stripe; or
• it is otherwise necessary to protect Gift Ripple, our users or any third party.

9.2 We may suspend or terminate a Gift Ripple Collection where requested by Stripe or where Stripe suspends or terminates the associated payment services.

9.3 Where reasonably practicable we will notify you of any suspension or termination and the reasons for it.

9.4 If your account is suspended or terminated, any Gift Ripple Collections which have already closed and any monetary Contributions already successfully processed will continue to be dealt with in accordance with these Terms and Conditions and the applicable Stripe terms and conditions.

9.5 You may close your Gift Ripple account at any time by contacting us. Closing your account will not affect any Gift Ripple Collection which has already closed or any rights or obligations which arose before your account was closed. Although any active Gift Ripple Collections will automatically close when a corresponding Gift Ripple Collection creator account is closed you will need to take into account the timescales for receiving cleared funds of any monetary Contributions made to that Gift Ripple Collection as set out in clause 3.4.

9.6 Termination of your Gift Ripple account will not affect any provision of these Terms and Conditions which is intended to continue after termination.

10. General

10.1 Our Platform is made available free of charge. We do not guarantee that our Platform, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platform for business and operational reasons.

10.2 We do not guarantee that our Platform will be secure or free from bugs or viruses. You should use your own virus protection software.

10.3 Although we make reasonable efforts to update the information on our Platform, we make no representations, warranties or guarantees, whether express or implied, that the content on our Platform is accurate, complete or up to date.

10.4 If a court or other authority decides that some of these Terms and Conditions are unlawful, the rest will continue to apply.

10.5 Even if we delay in enforcing this contract, we can still enforce it later.

10.6 These Terms and Conditions are governed by the laws of England and Wales. In the event of a dispute either party irrevocably agrees to the exclusive jurisdiction of the courts of England and Wales to bring legal proceedings arising in connection with these Terms and Conditions.
